Business Sale / Purchase

Law in Business have acted for hundreds of clients buying and selling businesses.

Most businesses in Queensland are bought and sold using the ‘standard’ REIQ Standard Contract. However what is standard to one person may not be standard to another or suit their needs. We provide specialised advice on these standard contracts and draft special conditions to ensure that your rights and interests are protected.

Each party to a sale or purchase of business contract should be independently advised by a lawyer and an accountant. We can help with you with:

  • Business structures

  • Contracts

  • Commercial and retail lease advice

  • Put and Call options

  • Goodwill

  • Liaison with financial institutions

  • Transfers of liquor licences and poker machine entitlements

  • Due diligence

  • Business searches and inspections

Retail & Commercial Leases

Law in Business can provide expert advice on all retail and commercial leases.

Many landlords and business owners fall into the trap of either accepting a ‘standard’ lease given to them or not appreciating how valuable a premises lease is. Often people do not appreciate the value of a properly worded lease until it is time to sell their asset.

A buyer of land or a business will review the lease very carefully and often walk away if there are unacceptable clauses that you accepted as ‘standard’.

Most leases are in the vicinity of 25 pages long so there are many more terms and conditions to it than simply how long is it for and how much is the rent.

Whether you are a landlord and a tenant it is important to seek legal advice from an experienced lawyer before entering a lease, as it has the potential of becoming a negative impact at a later stage.

We can assist you with:

  • Drafting and reviewing retail and commercial leases

  • Negotiation for the terms of the lease

  • Assignment of lease

  • Subletting of premises

  • Dispute resolution

  • Compliance with the Retail Shop Leases Act

  • Terminating a lease
